The Seaoffshore Code of Conduct is established as a declaration of Seaoffshore Capital Sdn Bhd's core governing principles and its commitment to upholding them. It also sets the expectation that all parties dealing with Seaoffshore will abide by these principles, just as Seaoffshore commits to abiding by this code. This Code binds the entire Seaoffshore Group of Companies, including all directors, employees, and extends to contractors.

 

The ethical foundation of Seaoffshore is built upon the SEAOFFSHORE PILLARS – MySIR:

 

Malaysian: Seaoffshore is a proudly Malaysian company with a strong regional outlook. It prioritizes the selection of local talent and know-how and practices an inclusive policy for all Malaysians, aiming to be a part of Malaysia's success story.

 

Safety (HSSE): As an oil and gas service and equipment provider, the health and safety of personnel are of paramount concern, placed on par with profitability. This includes protecting the environment and local communities, ensuring properly trained, qualified, and rested personnel, and strictly disciplining alcohol and drug abuse. Compliance with all rules, regulations, local laws, customs, and Malaysian government policies is also essential.

 

Integrity: Integrity is a core concern that takes precedence over everything else, fostering a culture that abhors dishonesty. For Seaoffshore, integrity specifically means:

 

  • No Discrimination & Harassment: Seaoffshore is an equal opportunity employer, tolerating no discrimination based on gender, race, religion, colour, or background, and adhering to meritocracy. Proper decorum is maintained in all communications, prohibiting obscenity and inappropriate language, and all forms of harassment are treated as serious misconduct.

 

  • Anti-Bribery: Seaoffshore takes a strong stand against all forms of dishonesty and bribery, guided by the Malaysian Anti-Corruption Commission Act 2009 (MACC Act), the Prime Minister’s Office Guidelines on Adequate Measures (2018), and the UNITED NATIONS Global Compact (2013). This prohibition applies to both private dealings and dealings with all government officials. While acknowledging relationships contribute to goodwill, gifts and entertainment must be within reason, free of improper motive, appropriate, related to business promotion, transparent, and documented. Money laundering is strictly prohibited, with due diligence conducted on new parties or suspicious fund sources.

 

  • Managing Conflicts of Interest: Proactive steps are taken to avoid situations of conflict or appearance of bias, ensuring objectivity. Transparency is a mandatory requirement for all individuals associated with Seaoffshore in the event of potential conflicts.

 

Responsibility: A sense of responsibility underpins commercial objectives, guiding actions towards the company, the Board, employees, the country, and the environment. This includes control measures against bribery (like due diligence and confidential reporting channels), maintaining confidentiality and protecting personal data, respecting human rights, and proper maintenance of financial records.

 

The Code of Conduct is considered a "live set of principles and guidelines" that will continue to evolve and improve by adhering to national and global standards. Leadership by example, starting from the top, is also emphasized.

 

All employees, directors, and, to the extent possible, contractors are required to read, be familiar with, and formally certify their understanding of the Code of Conduct. They must act conscientiously, balancing profit with adherence to the Code, and raise questions or concerns about improper conduct.
